Terms of Service

Important legal notice

This is a legally binding agreement. By accessing or using the Nyria platform, you agree to be bound by these Terms of Service. This Agreement requires disputes to be resolved by individual arbitration rather than jury trials or class actions, unless you opt out within 30 days as described in Section 11.7.

Electronic signature consent

By clicking "I Agree," creating an account, or using the Platform, you consent to receive disclosures and agreements electronically pursuant to the Electronic Signatures in Global and National Commerce Act (E-Sign Act), 15 U.S.C. § 7001 et seq. You agree that your electronic acceptance constitutes your signature and has the same legal effect as a handwritten signature. You may withdraw this consent by emailing contact@nyria.io, but doing so will require termination of your account.

1. Definitions

In these Terms of Service:

  • "Nyria", "we", "us", or "our" refers to Nyria LLC, a Wyoming limited liability company.
  • "Platform" means the Nyria web application, APIs, webhooks, and all related services.
  • "User", "you", or "your" refers to any individual or entity accessing or using the Platform.
  • "Strategy" means a trading configuration created on the Platform.
  • "Bot" means an automated trading instance deployed to execute trades based on a Strategy.
  • "Integration" means a connected brokerage or exchange account.
  • "Creator" means a User who publishes a Strategy for other Users to copy, including one who sells access to it.
  • "Member" means a User who has bought access to a creator's Strategy.
  • "Content" means all information, data, text, and materials available through the Platform.

2. Acceptance of Terms

By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our Risk Disclaimer, all of which are incorporated herein by reference.

If you publish or sell a Strategy, the Creator Policy also applies to you, from the date it sets, and is incorporated into these Terms. Sections 13E and 13F apply only to Strategies sold through Nyria's own checkout, and only once you sell or buy one that way.

If you do not agree to these Terms, you must not access or use the Platform.

We may update these Terms. If a change is material, we will tell you by email or in the Platform at least 30 days before it takes effect, unless the change is required by law or addresses a security risk, in which case it may take effect sooner. Changes apply going forward only, and changes to Section 11 are also subject to Section 11.9. If you keep using the Platform after a change takes effect, you accept the updated Terms; if you do not agree, stop using the Platform and cancel your subscription.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. The Platform is not available to persons under the age of 18.

3. Trading risks and disclaimers

3.1 Trading is risky

Trading and investing are inherently risky. You can lose money, including your entire investment. Past results are not necessarily indicative of future results. Trading stocks, options, and cryptocurrency involves substantial risk of loss and is not suitable for every trader or investor. Prices can move quickly, and some positions, such as short options or positions bought on margin, can lose more than you put in. Futures and perpetual futures, which Nyria does not trade in any real account today (see Section 13A.2), carry the same risks with more leverage.

3.2 No guarantee of results

Nyria is not a registered investment adviser, broker-dealer, or financial planner. We do not provide investment advice, trading recommendations, or financial advice of any kind. Neither the Platform nor any content included in the Platform is intended to be the sole or primary means of making decisions for trading or investing purposes. Nyria is not responsible for any trading or investment decisions made based on information provided through the Platform.

3.3 Automated trading risks

Automated trading systems carry additional risks including but not limited to: technical failures, software bugs, connectivity issues, delayed or failed executions, order errors, incorrect positions, broker API failures, network latency, and system outages. You are solely responsible for monitoring your automated strategies and being prepared to intervene manually when necessary.

3.4 Alert source risks

Nyria relies on third-party alert sources (including but not limited to TradingView, Discord, Telegram, and custom APIs) that may experience delays, outages, or deliver inaccurate or "repainting" alerts. Nyria cannot verify the quality, accuracy, timeliness, or reliability of any third-party alert source. You are solely responsible for ensuring your alert sources are reliable and appropriate for automated trading.

3.5 Not "set and forget"

The Platform is not a fully autonomous, self-healing system. Things can and will go wrong. You are responsible for actively monitoring your alerts, trading rules, open positions, broker connections, and account status. Nyria is not responsible for any losses resulting from failure to monitor your automated trading activities.

3A. No guarantee of execution or automation

3A.1 Nyria does not execute trades

Your broker executes your orders. Nyria does not guarantee that any alert, signal, or instruction will be received, read, processed, or transmitted, or that your broker will accept it. An order may be delayed, rejected, partially filled, duplicated, or never placed at all.

3A.2 Connectivity

An alert can be lost or delayed anywhere along its path: at the source, in transit, at Nyria, or between Nyria and your broker. A webhook that fails to deliver is not resent by its sender, and an outage can leave you unable to see what your bots are doing.

3A.3 Data and alert reading

Quotes, contract data, and market data come from third parties and can be late, wrong, or missing. An alert that is not in one of Nyria's own formats is read by an automated system that includes a language model, and it can misread one. Nyria rejects a reading it cannot price or match to your configuration, but validation is not the same as understanding what you meant.

3A.4 Execution

Your broker can reject an order, fill only part of it, or fill it at a price you did not expect. A rejected order is not retried. A broker, exchange, or regulator can disallow a trade without warning.

3A.5 What Nyria does not do

Nyria does not place stop loss, bracket, OCO, OTO, or trailing stop orders, and does not attach a take profit leg to an order it places. It does not close a position for you if an alert never arrives. It does not monitor your account.

3A.6 Your obligation

You are responsible for watching your brokerage account, your open positions, and your automated activity, and for confirming they behave as you intended. Nyria does not guarantee uninterrupted automation, execution at any particular price, or any trading outcome.

4. Description of service

Nyria is a cloud-based trade automation platform that allows you to connect trading alerts to brokerage and exchange accounts for automated order execution. The Platform is provided "AS-IS" and we assume no responsibility for the timeliness, efficiency, effectiveness, deletion, mis-delivery, or failure of any communication or service provided.

Creators can publish Strategies for other Users to copy, and sell access to them through Nyria or through their own checkout, as Sections 13D to 13F describe.

The Platform does NOT:

  • Provide investment advice or trading recommendations
  • Guarantee order execution or fill prices
  • Retry failed or rejected orders
  • Provide broker or exchange order IDs for external strategy logic
  • Verify the quality or reliability of your alert sources
  • Monitor or manage your broker account balance or margin
  • Prevent trading losses or guarantee profitability

You are responsible for obtaining access to the Platform and for any third-party fees associated with such access, including internet service provider fees. You are responsible for selecting, obtaining, and maintaining all equipment and hardware necessary to access the Platform.

4A. Brokerage and exchange integration terms

4A.1 OAuth and API authorization

When you connect a brokerage or exchange account to Nyria via OAuth or API credentials, you authorize Nyria to: (a) access your account information including balances, positions, and order history; (b) place orders in your account at your direction based on alerts you configure; and (c) receive trade execution notifications. You understand that your broker does not warrant or guarantee that Nyria will work as advertised or expected.

4A.2 Broker relationship

Your brokerage account is maintained by your broker, not by Nyria. Nyria is not a broker-dealer and does not hold your funds or securities. All order execution, settlement, custody, and regulatory compliance is the responsibility of your broker. Your relationship with your broker is governed by your broker's own agreements, including their customer agreement, margin agreement, and risk disclosures.

4A.3 Broker authorization validity

OAuth tokens and API keys may expire, be revoked, or become invalid. You are responsible for maintaining valid broker authorization. Nyria will make reasonable efforts to notify you of authorization failures, but we cannot guarantee delivery of such notifications. Failure to maintain valid authorization may result in missed trades or open positions that cannot be closed automatically.

4A.4 Order transmission

Nyria transmits orders to your broker on your behalf but does not guarantee order execution, fill prices, or timing. Orders may be rejected by your broker for various reasons including insufficient funds, margin requirements, market conditions, or account restrictions. Nyria does not retry rejected orders. You acknowledge that market conditions, broker system performance, network latency, and other factors may result in executions materially different from expected.

4A.5 Disconnection and revocation

You may disconnect your brokerage account at any time through the Platform settings or by revoking Nyria's access through your broker's interface. Disconnection does not close any open positions or cancel pending orders. You are solely responsible for managing positions after disconnection.

4A.6 Unofficial broker connections (Beta)

For broker connections offered in Beta that connect using your broker account username and password rather than an official OAuth or API credential, you acknowledge and agree that:

  • Your broker's terms. You are solely responsible for ensuring that automating your account through Nyria is permitted under your agreement with your broker. Unofficial connections operate against the broker's undocumented or private API and are not authorized by the broker. Your broker may restrict or take action on your account if it determines that third-party automation is in use.
  • No affiliation. Nyria is not affiliated with, authorized by, or endorsed by the broker. Robinhood is a trademark of Robinhood Markets, Inc. Nyria has no relationship with Robinhood Markets, Inc.
  • Beta status. Unofficial connections are Beta features provided as-is, with no guarantee of availability, reliability, or continued support. Nyria may change, suspend, or discontinue an unofficial connection at any time without notice.
  • Credential handling. Credential handling for unofficial connections is described in the Privacy Policy, Section 4A.5. You should disconnect and change your broker password immediately if you suspect any compromise.

4B. MCP and programmatic access

Nyria provides an MCP endpoint that allows external programs, including AI agents and automated tools you authorize, to send alerts to your strategies.

4B.1 Your responsibility

You remain solely responsible for all alerts delivered and all orders placed through your account, regardless of whether an alert was sent by you, by an AI agent, or by any other automated program. You must grant MCP access only to clients you control and trust.

4B.2 No liability for AI-generated orders

Nyria is not liable for orders placed through alerts sent by an AI agent, an automated tool, or any other program connected to your MCP credential, including orders resulting from hallucination, misconfiguration, or runaway execution by a third-party AI system.

4B.3 Revocation

You can revoke MCP credentials from your account at any time. Revoking a credential immediately stops further alerts from any client using it.

5. User responsibilities

5.1 Account security

You are responsible for maintaining the confidentiality of your account credentials, API keys, and passwords. You are responsible for all activity conducted under your account, whether or not authorized by you. You must immediately notify Nyria of any unauthorized use of your account. You may not share your login credentials with any other party.

5.2 Authorized brokerage account use

You may only connect brokerage accounts to the Platform for which: (a) you are the legal account owner, OR (b) you have been formally granted trading authority by the account owner through the brokerage firm's official authorization process (such as Limited Power of Attorney or Trading Authorization). Using another person's brokerage credentials, API keys, or login information without proper broker-issued authorization is strictly prohibited and may violate financial regulations including FINRA Rule 3260. Nyria may suspend or terminate your account if we determine you are accessing brokerage accounts without proper authorization.

5.3 Compliance with laws

You represent, covenant, and warrant that you will use the Platform only in compliance with all applicable laws and regulations in your jurisdiction, including but not limited to securities regulations, tax laws, and anti-money laundering requirements. You are solely responsible for determining whether automated trading is legal in your jurisdiction and for any tax implications of your trading activities.

5.4 Trading decisions

You are solely responsible for all trading decisions made using the Platform. This includes ensuring adequate capital for entries AND exits, understanding strategy mechanics, maintaining broker account eligibility, managing risk appropriately, and monitoring positions regularly.

5.5 Prohibited uses

You agree not to:

  • Use the Platform for any unlawful purpose or fraudulent activity
  • Engage in market manipulation or deceptive trading practices
  • Attempt to reverse engineer, decompile, or disassemble the Platform
  • Interfere with or disrupt the Platform or its servers
  • Share, resell, or redistribute your account access
  • Violate any third-party intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Impersonate any person or entity
  • Use automated scripts to access the Platform except through our approved APIs

6. Fees and payment

6.1 Pricing. Nyria offers free paper trading and paid subscription plans for live trading automation. Current pricing is available at nyria.io/pricing. The price you pay is the one shown when you subscribe.

6.2 Automatic renewal. Paid plans are subscriptions that renew automatically. You choose monthly or yearly billing when you subscribe, and each plan is billed in advance. A monthly plan charges its first month when you subscribe and renews every month until you cancel. A yearly plan charges its first year when you subscribe and renews every year until you cancel, and we email you about 30 days before each yearly renewal. By subscribing, you authorize Nyria, through its payment processor Stripe, to charge your payment method the plan's price each month or each year, as you chose, until you cancel. Moving a monthly plan to yearly billing, or a yearly plan to a larger one, is charged when you make the change, less credit for the unused part of your current plan. You are responsible for keeping your billing information accurate.

6.3 How to cancel. You can cancel online at any time: in the app, open Billing, choose Manage in Stripe, and cancel your plan there. You can also cancel by emailing contact@nyria.io. Cancelling stops all future charges. Your plan stays active until the end of the period you have already paid for, and then ends.

6.4 Price changes. We will email you at least 30 days before a new price applies to your plan. The new price applies from your first renewal after that notice. If you do not want to pay it, cancel before then.

6.5 Refunds. All fees are non-refundable. We do not offer refunds for partial months or years, unused time, or any other reason, except where the law requires one.

6.6 Taxes. You are responsible for all applicable taxes, levies, or assessments related to your use of the Platform, excluding taxes based on Nyria's net income.

7. Intellectual property

7.1 Nyria's property. The Platform, including all content, features, functionality, software, text, graphics, logos, and trademarks, is owned by Nyria and protected by United States and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our express written consent.

7.2 User Content. You retain ownership of any strategies, configurations, or content you create on the Platform. By creating content on the Platform, you grant Nyria a non-exclusive, worldwide, royalty-free license to use, store, and process such content as necessary to provide the Platform services.

7.3 Feedback. Any suggestions, ideas, or feedback you provide about the Platform may be used by Nyria without any obligation to compensate you.

8. Limitation of liability

8.1 Exclusion of certain damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NYRIA, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, TRADING LOSSES, MISSED TRADING OPPORTUNITIES, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, REGARDLESS OF WHETHER NYRIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Maximum aggregate liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NYRIA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO NYRIA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

8.3 Specific exclusions

Without limiting the foregoing, and except to the extent caused by Nyria's gross negligence, fraud, or willful misconduct, or where applicable law does not allow the limitation, Nyria shall not be liable for any loss arising from:

  • Your trading decisions or trading losses
  • Failure or delay of third-party alert sources (TradingView, Discord, Telegram, etc.)
  • Broker or exchange API failures, rejections, or delays
  • Market conditions, price movements, or liquidity issues
  • Your failure to properly configure strategies or bots
  • Your failure to monitor your positions and account status
  • Unauthorized access to your account due to your failure to secure credentials
  • Internet or connectivity issues
  • Software bugs or system outages
  • Actions or omissions of third parties

8.4 Basis of the bargain

You acknowledge that Nyria has set its fees and entered into these Terms in reliance upon the limitations of liability and disclaimers set forth herein, and that the same form an essential basis of the bargain between the parties.

9. Disclaimer of warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NYRIA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

NYRIA MAKES NO WARRANTY THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE PLATFORM WILL BE ACCURATE OR RELIABLE; (D) ANY ERRORS WILL BE CORRECTED; OR (E) THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE PLATFORM IS ACCESSED AT YOUR OWN DISCRETION AND RISK.

10. Indemnification

You agree to defend, indemnify, and hold harmless Nyria and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) your trading activities or trading losses; (e) your content or strategies; (f) any claim that your use of the Platform caused damage to a third party; or (g) your violation of any applicable law or regulation.

11. Dispute resolution and arbitration

11.1 Try to resolve it first

Before starting an arbitration or a small claims case, the party with a claim must send the other a written notice describing the claim and the relief requested: to Nyria at contact@nyria.io and Nyria LLC, 30 N Gould St, Sheridan, WY 82801, and to you at the email address on your account. For 30 days after the notice is received, we will both try in good faith to resolve the claim informally. Any limitations period is paused during those 30 days.

11.2 Binding individual arbitration

Except as provided in Sections 11.4 and 11.7, any dispute, claim, or controversy between you and Nyria arising out of or relating to these Terms or the Platform, including their formation, validity, enforceability, breach, or termination, and whether based on contract, tort, statute, or any other legal theory (a "Dispute"), will be resolved by binding arbitration on an individual basis administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in effect when the arbitration is filed, together with any AAA supplementary rules those rules make applicable (the "AAA Rules"), available at www.adr.org. The Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of this Section 11. A single arbitrator will decide the Dispute and may award any individual relief that a court could award under applicable law, including attorneys' fees and costs where the law allows them.

11.3 Costs and location

AAA filing, administration, and arbitrator fees will be allocated as the AAA Rules and the AAA Consumer Fee Schedule provide, and Nyria will pay every such fee that the AAA Rules do not require you to pay. Unless the arbitrator decides that an in-person hearing is necessary, the arbitration will be conducted on written submissions, by video conference, or by telephone. Any in-person hearing will take place in the county where you live, or at another place we both agree to in writing.

11.4 Small claims

Instead of arbitration, either of us may bring an individual claim in a small claims court that has jurisdiction over it, as long as the claim remains in that court on an individual basis.

11.5 Class and representative action waiver

YOU AND NYRIA MAY EACH BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any class, consolidated, or representative proceeding, and may award declaratory or injunctive relief only in favor of the individual party seeking it and only to the extent necessary to provide relief warranted by that party's individual claim. If a court finally decides that applicable law prevents enforcement of this Section 11.5 as to a particular claim or request for relief (such as a request for public injunctive relief), that claim or request, and only that one, will be severed and decided by a court under Section 11.8 after the individual arbitration of all other claims is finished. Nothing in these Terms permits class or collective arbitration.

11.6 Jury trial waiver

If a Dispute proceeds in court rather than in arbitration, you and Nyria each waive any right to a jury trial, to the extent the law allows.

11.7 Right to opt out

You may opt out of this Section 11 by sending notice to contact@nyria.io, or by mail to the address in Section 11.1, within 30 days after you first accept these Terms. The notice must include your name, the email address on your account, and a clear statement that you are opting out of arbitration. Opting out does not affect any other part of these Terms.

11.8 Courts

Any Dispute that is not arbitrated, because you opted out or because this Section 11 does not apply, will be decided exclusively by the state courts located in Sheridan County, Wyoming or the United States District Court for the District of Wyoming, and you and Nyria consent to the personal jurisdiction of those courts, except that a small claims case may be brought as described in Section 11.4.

11.9 Changes to this section

A change to this Section 11 will not apply to any Dispute that either party gave notice of under Section 11.1 before the change took effect. You may reject a material change to this Section 11 by notice to contact@nyria.io within 30 days after it takes effect, in which case the version you last accepted continues to apply to you.

11.10 Survival and severability

This Section 11 survives the end of your account and of these Terms. Except as provided in Section 11.5, if any part of this Section 11 is held unenforceable, the rest of it remains in effect.

12. Termination

12.1 Your right to terminate. You may terminate your account at any time by canceling your subscription as described in Section 6.3 and ceasing use of the Platform.

12.2 Our right to terminate. We may suspend or terminate your account and access to the Platform immediately, without prior notice, for any reason, including but not limited to: (a) breach of these Terms; (b) fraudulent or illegal activity; (c) failure to pay fees; (d) request by law enforcement; (e) unexpected technical or security issues; or (f) extended periods of inactivity.

12.3 Effect of termination. Upon termination, your right to use the Platform will immediately cease. Termination does not close any open positions in your broker accounts. You are solely responsible for managing any open positions. We may delete your account data following termination.

12.4 Survival. Sections 3, 7, 8, 9, 10, 11, and 14 shall survive any termination of these Terms, and so shall Sections 13E.5, 13E.6, 13E.7, 13E.10, and 13E.13 for any amount owed under them.

13. Third-party services

The Platform integrates with third-party services including but not limited to brokerages, exchanges, TradingView, Discord, Telegram, and payment processors. These third parties have their own terms of service and privacy policies that govern their relationship with you.

NYRIA IS NOT RESPONSIBLE FOR AND MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING ANY THIRD-PARTY SERVICES, INCLUDING THEIR AVAILABILITY, ACCURACY, RELIABILITY, OR SECURITY. Your use of third-party services is at your own risk. Any issues with third-party services should be directed to those third parties.

13A. Regulatory disclaimers

13A.1 Not a broker-dealer or investment adviser

Nyria LLC is NOT a registered broker-dealer under the Securities Exchange Act of 1934, NOT a registered investment adviser under the Investment Advisers Act of 1940, and NOT registered with the Securities and Exchange Commission (SEC), Financial Industry Regulatory Authority (FINRA), or any state securities regulatory authority. Nyria does not provide personalized investment advice, manage investment portfolios, or act as a fiduciary. We provide technology tools only.

13A.2 Futures and other commodity interests

Nyria does not place real orders for futures, options on futures, swaps, perpetual futures, or any other commodity interest, and no account that can be connected to Nyria today is used by Nyria to trade them. Nyria Paper can simulate crypto perpetual futures; a simulated trade places no order and moves no money.

Nyria is not registered with the Commodity Futures Trading Commission (CFTC) or the National Futures Association (NFA) in any capacity, including as a commodity trading advisor, commodity pool operator, introducing broker, or futures commission merchant.

If Nyria adds any of these products, it will update these Terms and the Risk Disclaimer, and ask you to accept the updated disclosure, before that support is available to you. Trading futures and other leveraged derivatives involves substantial risk of loss, and the risks described in the Risk Disclaimer apply to them if and when they are offered.

13A.3 Strategy results

Results shown for a strategy are computed from the strategy's alerts, at the prices Nyria recorded when it processed them. They are not the fills of any account. Results computed this way have inherent limits: they involve no financial risk, and they cannot account for the effect financial risk has on real trading, such as the ability to withstand losses or to keep following a strategy through them. There are often sharp differences between results computed this way and the results an account achieves. Your fills and results may differ from them because of your position size, your broker, timing, liquidity, fees, and slippage. Past results do not guarantee future results. Nyria makes no representation that any account will or is likely to achieve results similar to those shown. A strategy's results are not a guarantee of any outcome, and they are not investment advice or a recommendation.

Section 13D.6 explains how strategy results are calculated.

13A.4 Investment Company Act

Nyria is NOT an investment company registered under the Investment Company Act of 1940. The Platform does not pool user funds or invest on behalf of users. Each user's brokerage account is separate and individually owned.

13A.5 Options risk disclosure

Options trading involves significant risk and is not appropriate for all investors. Before trading options, you should read "Characteristics and Risks of Standardized Options" (the "OCC Risk Disclosure") available from your broker or at theocc.com. You can lose the entire amount invested in options, and losses can exceed your initial investment when selling options.

13A.6 Cryptocurrency risk disclosure

Cryptocurrency trading is extremely volatile and speculative. Cryptocurrencies are not legal tender, are not backed by any government, and accounts and value balances are not subject to FDIC or SIPC protections. Cryptocurrency markets operate 24/7 and may experience significant price swings. Regulatory treatment of cryptocurrencies is evolving and may change.

13B. Service levels and availability

13B.1 No uptime guarantee. Nyria does not guarantee any specific level of service availability, uptime, or performance. The Platform may be unavailable due to scheduled maintenance, unscheduled outages, or factors beyond our control. We make no commitment regarding response times for alert processing or order transmission.

13B.2 Scheduled maintenance. We may perform scheduled maintenance that temporarily interrupts service. We will make reasonable efforts to provide advance notice of planned maintenance, but we reserve the right to perform emergency maintenance without notice.

13B.3 Beta features. Certain features may be designated as "beta," "preview," "experimental," or similar. Beta features are provided "as-is" without any warranty, may contain bugs or errors, may be modified or discontinued at any time, and should not be relied upon for production trading without additional testing.

13B.4 Emergency suspension. We reserve the right to immediately suspend access to the Platform or disable trading functionality without notice if we reasonably believe: (a) there is a security threat; (b) the Platform is being used for fraudulent or illegal activity; (c) continued operation would cause harm to users, third parties, or Nyria; or (d) required by legal process or regulatory authority.

13C. Export compliance

The Platform may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and re-export restrictions and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not on any U.S. Government list of prohibited or restricted parties including the Specially Designated Nationals List or Denied Persons List.

13D. Strategy marketplace and creators

13D.1 Creators are independent

Strategies published on Nyria are created by independent third parties, not by Nyria. Creators are not Nyria's employees, agents, or representatives. Apart from the identity check Stripe runs on a creator who sells through Nyria, so that they can be paid, Nyria does not vet creators, and it does not review their strategies or verify their results, their qualifications, or their claims. That identity check is not a review of the creator or the strategy. Nyria is not responsible for creators' conduct, and nothing a creator publishes is Nyria's advice or recommendation.

13D.2 What a creator agrees to

A creator who publishes a strategy agrees that they have the right to publish it, that what they say about it is accurate and not misleading, that they promise no one a profit, that they are responsible for the laws that apply to selling trading signals, and that they will follow the Creator Policy. A published strategy sends the same signal to everyone who copies it, and a creator gives no subscriber individual trading direction.

13D.3 How a strategy is sold

A strategy that is sold is sold in one of two ways, and the checkout names who you are paying.

Through Nyria. Nyria sells you access to the strategy as the seller, and Section 13F applies to your purchase.

Through the creator's own checkout. You pay the creator through the creator's own payment account, such as Stripe or Whop. Nyria is not a party to that sale, never holds that money, and is not obligated to intervene in a dispute between you and a creator. Refunds and cancellations are between you and the creator, subject to their payment provider's rules.

13D.4 What a creator can see

A creator can see, for each bot copying their strategy, the copier's name and email, which broker it runs on, whether the account is live or paper, the position size set, whether the bot is running and when it was set up, whether the bot is erroring, and its most recent log line. A log line can include order details and, when an order is refused for lack of funds, the balance the broker reported. Otherwise they cannot see a copier's balance, and they cannot see a copier's account number, broker credentials, or any strategy that is not theirs. Creators agree to use that information only to support the strategy.

13D.5 Listing and removal

Nyria may accept, reject, rank, feature, unlist, or stop offering any strategy at its discretion. Where a strategy appears in a list, and whether it is featured, is not a recommendation or an endorsement of it. A creator may change or stop a strategy at any time. If a creator's subscription lapses, bots copying that strategy stop opening new positions and are limited to closing what they already hold.

13D.6 Published figures

Performance figures shown on a strategy page are computed from the strategy's alerts, not from the fills of any brokerage account. Only closed trades count. Each entry counts as one unit, one share for stocks or one contract for options, and partial fills or rejected orders in any account are not reflected. A crypto strategy's figures are instead each trade's return applied to the creator's recommended amount per entry, added up, or the returns in percent when no amount is set. Each entry and exit uses the price Nyria recorded when it processed that alert. An option held to expiry is counted at its intrinsic value from the underlying's official close on the expiration date once two market-data sources agree on that close; until then, or if it cannot be settled that way, it counts at $0. No commissions, fees, borrowing costs, or slippage are deducted. Your own fills and results may differ.

13E. Selling through Nyria

13E.1 When this section applies

This Section 13E applies to you only if you sell access to a Strategy through Nyria's own checkout, and it applies from the first time you set up a plan to sell that way. It does not apply to a sale through your own payment account, such as Stripe or Whop, which Section 13D.3 covers.

13E.2 How a sale works

When a Member buys a plan for your Strategy through Nyria, Nyria sells the Member access to your Strategy in its own name, as the seller and merchant of record. The Member pays Nyria through Stripe, and the Member's contract for that purchase is with Nyria. You supply the Strategy. From each payment, Nyria keeps its fee, Stripe's fee for processing the payment is deducted, and Nyria pays you the rest as your share of the revenue (your "share").

13E.3 Nyria's fee

Nyria's fee is $50 a month per Member for each $10,000 of total entry allocation the Member's tier allows. A tier is rounded up to the next $10,000, so a $25,000 tier counts as $30,000. A yearly plan pays twelve months of the fee out of each yearly payment. If a payment does not cover Nyria's fee and Stripe's processing fee, no share is owed for it.

13E.4 Stripe and your payout account

To be paid, you open a payout account with Stripe through Nyria and accept the Stripe Connected Account Agreement, which incorporates the Stripe Services Agreement, and any other terms Stripe requires for your country (together, the "Stripe Terms"). The Stripe Terms are between you and Stripe. Stripe verifies your identity, collects your bank and tax details, and pays your share out to your bank, and Nyria cannot waive what Stripe requires. You authorize Nyria to give Stripe the information about you and your sales that Stripe needs to pay you, and to receive information about your payout account from Stripe. You can sell before you finish setting up your payout account: Nyria records each share you are owed and sends it once your account can receive it. Selling through Nyria is available only in the countries Nyria supports for payouts.

13E.5 Payouts and holds

Nyria sends your share of a payment to your payout account after the Member pays. It becomes available to you once the Member's payment settles, and Stripe pays it to your bank on the payout schedule in your Stripe account. Shares are paid in U.S. dollars, and any currency conversion is made by Stripe under the Stripe Terms. Nyria may delay a payout, or hold a share, while your payout account does not meet Stripe's identity, tax, or other requirements; while Nyria reasonably suspects fraud, a breach of these Terms or the Creator Policy, or an unusual level of refunds or disputes; or where the law or a legal process requires it. Nyria pays a held share that is owed to you once the reason for the hold ends. Nyria is not liable for a delay in a payout that Stripe causes or that a hold under this section causes, and Section 8 does not limit Nyria's obligation to pay you a share that is owed to you.

13E.6 Refunds, disputes, and set-off

Nyria decides whether a Member receives a refund, under Section 13F.4 and the law. If Nyria refunds all or part of a payment, or a Member disputes a payment with their bank or card issuer, the same part of your share is taken back: Nyria reverses that part of its transfer to your payout account or, if the share has not been sent, it is no longer owed. A disputed payment is treated as fully refunded unless the dispute is decided in Nyria's favor and the payment is returned to Nyria, in which case its share is owed to you again. Nyria handles disputes, decides whether to contest them, and may ask you for information to do so. Nyria may deduct any share it could not take back, and any other amount you owe Nyria under these Terms, from shares it owes you later. If those are not enough, you will pay the balance to Nyria on request.

13E.7 Taxes

You are responsible for the taxes on what you are paid, and for reporting it. Stripe collects tax details, such as your taxpayer identification number, when you set up your payout account, and Nyria may ask you for a tax form, such as Form W-9 or Form W-8BEN, and hold your shares until you give it. Information returns, such as Form 1099, are issued through Stripe where the law requires them. Nyria may withhold from a share any tax the law requires it to withhold. Any sales tax, VAT, or similar tax on a sale through Nyria is Nyria's to collect where the law requires it, and is not part of the payment your share is calculated from.

13E.8 Prices and plans

You set each plan's name, its price (at least the minimum Nyria shows), its billing interval (from the intervals Nyria offers, currently monthly), and the total entry allocation its tier allows. A new price applies only to Members who buy after the change; Members already subscribed keep the price they bought. Nyria will move an existing Member to a higher price only at your request, and only after emailing that Member at least 30 days before the new price applies. You can close a plan to new Members at any time. Members already on it keep it, and it renews, until they cancel.

13E.9 Stopping a strategy

If you stop offering a Strategy you sell through Nyria, Nyria stops its subscriptions from renewing, and you keep the Strategy running as you described it until the last period its Members have paid for ends. Closing a plan to new Members does not stop the Strategy for Members who already have it; to do that, tell Nyria at contact@nyria.io.

13E.10 When selling ends

Nyria may refuse to let you sell through Nyria, and may pause or stop sales of any plan or Strategy, or end your ability to sell, at its discretion, including to comply with the law, the Stripe Terms, or card network rules, or under the Creator Policy. If Nyria removes a Strategy or ends your ability to sell, Nyria stops the Strategy's subscriptions from renewing, and Members keep access until the end of the period they have paid for, unless Nyria ends it sooner under Section 13B.4. You may stop selling through Nyria at any time as Section 13E.9 describes. When selling ends, for any reason, Nyria pays you the shares owed for payments made before then, subject to Sections 13E.5 and 13E.6 and to any withholding under the Creator Policy.

13E.11 Independent contractor

You sell through Nyria as an independent contractor. Nothing in these Terms makes you Nyria's employee, agent, partner, or joint venturer. You may not make commitments for Nyria or say that you act for it, and you are responsible for your own expenses, insurance, and any license or registration your activity requires.

13E.12 Your promises

Each time you sell through Nyria, you represent and warrant that: (a) the information you give Nyria and Stripe is accurate, and you keep it up to date; (b) you have the authority to agree to these Terms, and to bind any business you sell for; (c) you have the rights to the Strategy and to everything you publish with it; (d) your Strategy, what you say about it, and your dealings with Members comply with these Terms, the Creator Policy, and the law, including the securities, commodities, investment adviser, consumer protection, and advertising laws that apply where you and your Members are; (e) you have decided for yourself whether your activity requires you to register as an investment adviser, commodity trading advisor, or otherwise, and you hold every registration it requires; (f) no regulator or court has barred you from giving investment or trading advice or from the securities or commodities business; and (g) you are not a person described in Section 13C.

13E.13 Indemnity

In addition to Section 10, you will defend, indemnify, and hold harmless Nyria and its affiliates, directors, officers, employees, and agents from any claim, demand, investigation, fine, loss, or cost, including reasonable attorneys' fees, brought or imposed by a Member, a regulator, Stripe, or any other third party that arises from your Strategy, what you say about it, your dealings with Members, your use of Member information, your taxes, or your breach of these Terms, the Creator Policy, the Stripe Terms, or the law. Nyria may deduct amounts owed under this section from shares it owes you.

13E.14 Changes to these selling terms

Nyria will tell you at least 30 days before a change to its fee, or to how your share is calculated or paid, takes effect. A change applies only to payments made after it takes effect. Section 2 applies to every other change.

13F. Buying a strategy through Nyria

13F.1 When this section applies

This Section 13F applies to a subscription to a Strategy that you buy through Nyria's own checkout, from your first such purchase. A Strategy bought through a creator's own checkout is covered by Section 13D.3 instead.

13F.2 Who you buy from

Nyria sells you access to the Strategy, and your contract for the purchase is with Nyria. The Strategy's creator supplies it: its alerts, its settings, and what is said about it are the creator's, not Nyria's, and Section 13D applies to them. Nyria pays the creator part of what you pay. Your plan sets the total entry allocation you can run on the Strategy. Your access is for your own use, and you may not share or resell it.

13F.3 Renewal and cancellation

A Strategy subscription renews automatically, every month or every year as the plan you chose states, until you cancel. Its price, in U.S. dollars, and its billing interval are shown before you pay. By subscribing, you authorize Nyria, through its payment processor Stripe, to charge your payment method the plan's price at the start of each period until you cancel. You can cancel online at any time: in the app, open Billing, choose Manage in Stripe, and cancel the subscription there. You can also cancel by emailing contact@nyria.io. Cancelling stops future charges. Your access continues until the end of the period you have already paid for, and then ends; your bots on the Strategy then stop opening new positions and are limited to closing what they already hold. Section 6.6 applies to taxes on your purchase.

13F.4 Refunds

Payments for a Strategy subscription are non-refundable, including for partial periods, unused time, the Strategy's results, or changes its creator makes to it, except where the law requires a refund. If Nyria gives a refund in one case, it is not obliged to give one in another.

13F.5 If the strategy stops

A creator can change a Strategy, or stop sending its alerts, at any time, and Nyria does not promise that a Strategy will keep running for any period. If a creator stops offering a Strategy you bought through Nyria, or it is deleted or removed, Nyria stops your subscription from renewing, and you keep access until the end of the period you have paid for, unless Nyria ends it sooner under Section 13B.4. If a creator closes your plan to new Members, you keep it until you cancel.

13F.6 Price changes

A creator can change a plan's price for new Members. You keep the price you bought at unless Nyria emails you at least 30 days before a new price applies to your subscription, and you can cancel before then.

13F.7 Payment problems

If a payment fails, Stripe may try it again, and Nyria may end your access to the Strategy if it is not paid. If you think a charge is wrong, contact Nyria at contact@nyria.io first, so it can be put right. That does not limit any right you have to dispute a charge with your bank or card issuer, but Nyria may suspend your access to a Strategy while a dispute over its payment is open.

13G. Discord server verification

The Platform supports linking your Discord account to your Nyria account by completing a Discord server verification flow. By connecting your Discord account:

  • You authorize Nyria to read your Discord user ID, username, and server membership information through Discord's OAuth API.
  • The connection is governed by Discord's terms of service, which you are responsible for reading and complying with.
  • Nyria may use your server membership status to control access to features or strategies that require membership in a specific Discord server.
  • Revoking the Discord connection in Nyria or in Discord removes the link. Nyria is not responsible for any effect on your access to features that required the link.

14. General provisions

14.1 Governing law. These Terms and any Dispute are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules, except that Section 11 is governed by the Federal Arbitration Act. This choice of law does not take away any protection that the law of the state where you live gives you and that cannot be waived by contract.

14.2 Entire agreement. These Terms, together with our Privacy Policy and Risk Disclaimer and, for creators, the Creator Policy, constitute the entire agreement between you and Nyria concerning the Platform and supersede all prior agreements and understandings. The Stripe Terms are a separate agreement between you and Stripe.

14.3 Severability. If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Within Section 11, Sections 11.5 and 11.10 decide what happens instead.

14.4 Waiver. The failure of Nyria to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.5 Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Nyria may assign these Terms without restriction.

14.6 Force majeure. Nyria shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.7 Notices. We may provide notices to you via email to the address associated with your account or by posting on the Platform. You may contact us at contact@nyria.io.

14.8 No third-party beneficiaries. These Terms do not create any third-party beneficiary rights in any individual or entity.
