About this policy

This policy sets the standards for every creator who publishes a strategy on Nyria for others to copy, whether they sell access to it through Nyria, sell it through their own checkout, or offer it for free. Sections 2 and 6 apply to strategies that are sold. The policy is part of the Terms of Service (Sections 2, 13D, and 13E).

It applies to a creator who sells a strategy through Nyria, or publishes their first strategy, after this policy is posted. For a creator who published a strategy before then, it takes effect 30 days after Nyria tells them about it by email or in the app, or when they first sell through Nyria, if that is sooner.

This policy is not legal advice. You are responsible for your own compliance with it and with the law, and for getting your own legal advice.

Nyria does not monitor what creators say or do. It looks into a possible violation when it learns of one, and enforces this policy as Section 8 describes.

1. Marketing and public statements

These rules apply to everything you say about your strategy or about Nyria, wherever you say it: on Nyria, on your own site, on social media, in a Discord server or Telegram group, in email or video, and in conversation with members.

1.1 Performance claims

You may not:

  • State anything untrue about a material fact, or leave out a material fact that is needed to keep what you say from being misleading. A fact is material if a member or a prospective member would consider it important in deciding whether to subscribe or to stay subscribed.
  • Guarantee a return, a profit, or growth in an account.
  • Project future returns for any member or group of members.
  • Claim that members will reach any particular financial outcome.
  • Imply consistent profitability or freedom from loss.
  • Market the results of a strategy you no longer run, or of trades your strategy did not send.

Examples of statements that are not allowed (the list is not complete):

  • "You can turn $10,000 into $100,000 within a year."
  • "I averaged 400% last quarter, and members can expect the same."
  • "Members are making six figures in passive income."
  • "Look at my past results. That should give you confidence in the strategy."
  • "I'll get your account to where you want it to be."
  • "You'll make your money back in the first month."

You may show past results only together with:

  • the period they cover;
  • a statement that trading involves risk, including the risk of losing money;
  • how they were calculated, including whether fees, commissions, and slippage are deducted;
  • a statement that past results do not guarantee future results; and
  • a statement that they come entirely from the strategy members automate on Nyria.

Results shown on a strategy's page are computed from its alerts, not from the fills of any account (Terms of Service, Section 13D.6). If you quote them, say so. If you show results from your own brokerage account, say that too, and do not present them as what members achieved.

1.2 Registration and regulatory claims

You may not:

  • Call yourself an investment adviser or a registered investment professional unless you are registered as one with the SEC or a state securities regulator.
  • Call yourself a commodity trading advisor unless you are registered as one with the Commodity Futures Trading Commission.
  • Claim that you, your strategy, or Nyria is compliant with, approved by, registered with, or endorsed by the SEC or any other regulator.
  • Claim any regulatory status you do not hold.

Examples of statements that are not allowed:

  • "I'm SEC compliant."
  • "My strategy is registered with the SEC."
  • "This software is approved by the SEC."
  • "My broker wouldn't work with me if I weren't legitimate."
  • "I can charge this because Nyria has the right structure."

1.3 Your relationship with Nyria

Describe your relationship with Nyria accurately. You are not Nyria's employee, agent, or representative, and you may not say or imply that you are, or that Nyria endorses, approves, verifies, or guarantees you, your strategy, your results, or your conduct. A Stripe identity check, a listing, a ranking, or a featured placement is not an endorsement, and you may not present one as an endorsement.

Examples of statements that are not allowed:

  • "Nyria endorses my strategy."
  • "Nyria approved my pricing."
  • "Nyria verified my results."
  • "Nyria guarantees my trades are executed."

Examples of statements that are allowed, if they are accurate:

  • "I use Nyria to automate my strategy."
  • "Members automate my strategy on Nyria."
  • "Nyria runs the checkout and pays me a share of each sale." (only if you sell through Nyria)

1.4 Guarantees

You may not make statements that imply or promise members an outcome, even informally or in passing. Examples of statements that are not allowed:

  • "I don't lose."
  • "This is a no-brainer."
  • "You'd be crazy not to subscribe."
  • "Risk-free returns."
  • "Guaranteed monthly income."
  • "You'll profit from this."

1.5 Testimonials and reviews

You may use a member's testimonial only if:

  • it is genuine and comes from a real member;
  • it is shown with a clear statement that individual results vary, are not typical, and are not guaranteed;
  • you disclose anything you gave the member for it, such as payment, free access, or a discount; and
  • it does not imply that other members will get the same result.

You may not present your best members' results as typical unless you say that they are not typical, or you link to every review your members have left.

1.6 General conduct

Your marketing may not be false, misleading, deceptive, or fraudulent. That includes:

  • misrepresenting what your strategy is or does;
  • misrepresenting your experience, credentials, or qualifications;
  • choosing trades or periods to make results look better than they were; and
  • fake reviews, fake testimonials, or other made-up social proof.

2. Pricing

2.1 What you can charge

Charge a set price for each plan, the same for every member who buys that plan. Plans may differ by what they include, such as the total entry allocation their tier allows, but not by a member's account size or wealth.

2.2 What you cannot charge

You may not:

  • base a fee on the size of a member's account or the assets they trade with;
  • base a fee on a member's trading results or profits;
  • negotiate a price with a member based on their financial situation;
  • use bait-and-switch or any other deceptive pricing; or
  • raise an existing member's price without telling them at least 30 days before and giving them the chance to cancel first.

Examples of pricing that is not allowed:

  • "It's $5,000 for a $10,000 account and $15,000 for a $50,000 account."
  • "I'll take $1,000 off because you only have $5,000 to trade."
  • Asking members to pay an extra fee partway through a period to keep their access.

2.3 Clear pricing

Every price, and what it includes, must be clear before a member pays. No hidden fees, and no charges a member could not see before subscribing.

3. Communicating with members

3.1 The same alerts for every member

A strategy sends the same alerts to every member who copies it. Each member chooses their own broker account, the size of each entry, and the instruments their bot may trade. You may not change the alerts, or send different ones, for an individual member.

3.2 No individual advice

Communicate with members as a group. You may not:

  • tailor recommendations to a member's portfolio, account size, or financial situation;
  • offer model portfolios that differ by a member's financial situation;
  • give individual portfolio advice through any channel;
  • hold one-on-one consultations about a member's trades or investment decisions; or
  • adjust what you recommend to suit an individual member.

Examples of messages that are not allowed:

  • "For your $50,000 account, I'd do this."
  • "Given your retirement timeline, you should change your positions."
  • "DM me your portfolio and I'll tell you what to change."
  • "Send me your account details and I'll customize the strategy for you."
  • "What's your risk tolerance?"

If a member asks for personal advice, decline, and offer only general commentary that applies to every member.

3.3 Group settings

You may talk with members in group settings, such as a Discord server or Telegram group you run, group chats, livestreams, and group emails, as long as what you say is general. You may not form an individual advisory relationship with any member.

3.4 No account access or discretion

You may not accept discretionary authority over a member's account, or ask for or accept a member's login details, passwords, API keys, or any other access to their brokerage account. Every order a member's bot places goes through Nyria, on the member's own broker connection.

4. Trading and integrity

4.1 Trading against members

You may trade your own accounts, including on your own strategy. You may not trade to profit from the orders your members' bots place, such as buying before an alert in order to sell to members at a higher price, or trading against members' orders, and you may not send an alert in order to move a price in your favor.

4.2 Market manipulation

You may not use a strategy to manipulate a market, including through pump-and-dump schemes, wash trades, matched orders, spoofing, or alerts meant to create a false appearance of trading in an instrument.

4.3 Fake members and activity

You may not create fake members, subscribe to your own strategy through another account, pay or reward people to subscribe in order to inflate your numbers, or otherwise falsify a strategy's members, results, reviews, or activity.

4.4 Member information

Use what you can see about members (Terms of Service, Section 13D.4, and the Privacy Policy, Section 3.2) only to support your strategy. Do not sell it, share it, or use it for anything else.

5. Describing the service

Describe your service accurately, and make sure members know, before they pay:

  • that trades are placed automatically, from your strategy's alerts, in their own brokerage account;
  • that they do not approve each trade, but they choose the broker account, the size of each entry, and the instruments their bot may trade;
  • that trades are placed whether or not they are watching;
  • that they connect their own brokerage account to Nyria to automate the strategy;
  • that they remain responsible for their account and every position in it; and
  • who they are paying: Nyria, when you sell through Nyria, or you, when you sell through your own checkout.

6. Members

6.1 Questions and complaints

Answer members' questions and complaints in good faith and within a reasonable time. You may not retaliate against a member who raises a concern.

6.2 Cancellations and refunds

Honor the subscription terms that apply to your sales. When you sell through Nyria, members cancel in Nyria and the Terms of Service govern refunds, so do not promise a member a refund, credit, or discount on Nyria's behalf. When you sell through your own checkout, handle cancellations and refunds under the terms you publish, with no hidden barriers, fees, or conditions that make cancelling harder.

6.3 Keeping a strategy running

Keep a strategy running as you described it for as long as members are paying for it. If you plan to stop, tell your members and Nyria first. Section 13E.9 of the Terms of Service sets out what happens when you stop a strategy you sell through Nyria.

7. Compliance with law

You alone are responsible for complying with every law and regulation that applies to you, your strategy, and your marketing, including:

  • the Investment Advisers Act of 1940 and its exemptions;
  • the Commodity Exchange Act and its exemptions;
  • state investment adviser registration requirements;
  • the FTC's rules on advertising, testimonials, and endorsements;
  • state consumer protection laws;
  • federal and state securities registration and anti-fraud laws; and
  • the laws of any other country where you or your members are.

You are responsible for deciding whether your activity requires you to register as an investment adviser, broker-dealer, commodity trading advisor, or other regulated person. Nyria does not give creators legal advice.

8. Enforcement

8.1 How Nyria learns of a violation

Nyria does not monitor creators. It looks into a possible violation when it learns of one, from a member's complaint, a broker, a payment provider, a regulator, or any other credible report.

8.2 Review

When Nyria learns of a possible violation, it will:

  1. review it against this policy;
  2. tell you about it;
  3. give you the chance to respond;
  4. decide whether a violation happened; and
  5. take whatever action is needed.

8.3 Time to correct a violation

Once Nyria tells you about a violation, you have five business days to confirm that you received the notice, correct the violation, and show Nyria what you did to correct it. While Nyria reviews a violation, it may pause sales of the strategy and hold your payouts, as Sections 13E.5 and 13E.10 of the Terms of Service allow.

8.4 If a violation is not corrected

If you do not correct a violation within five business days, Nyria may:

  • unlist the strategy, or pause or stop its sales through Nyria;
  • remove the strategy;
  • withhold payouts earned through the violation, and apply held payouts to the refunds, disputes, and other losses it caused;
  • end your ability to publish or sell strategies, or close your account; and
  • use any other remedy the Terms of Service or the law allows.

Members who bought the strategy through Nyria keep access until the end of the period they have paid for, unless Nyria ends it sooner to protect them (Terms of Service, Sections 13B.4 and 13E.10).

8.5 Immediate action

Nyria may take any step in Section 8.4 at once, without time to correct, in cases of fraud or deliberate misrepresentation, conduct that exposes members or Nyria to legal or regulatory risk, conduct that threatens Nyria's relationships with brokers or payment providers, repeated violations, or failure to cooperate with Nyria's review.

8.6 No waiver

If Nyria does not act on a violation, it keeps the right to act on it, and on any later one. Conduct Nyria has tolerated in the past gives no right to continue it.

9. Changes to this policy

Nyria may update this policy. It will tell creators about a material change by email or in the app at least 30 days before the change takes effect, unless the law requires the change sooner. If you keep publishing or selling a strategy after a change takes effect, you accept the updated policy.

10. Acknowledgment

By publishing or selling a strategy on Nyria, you confirm that:

  • you have read and understood this policy;
  • you are responsible for your own compliance with it and with the law;
  • you will follow it;
  • you understand what can happen if you do not; and
  • you have had the chance to get your own legal advice about your conduct.
